INTRODUCTION

The institution The University of Sydney (“Institution”) has authorised you (the “Employer”, “you”, “your”) to access this website (the “Service”) for the purpose of posting relevant, suitable and accurate vacancies to this Institution’s careers platform (the “Career Centre”). This Clause 8 applies only where, at the relevant time, you are not a party to a separate written agreement directly with us governing your use of the Career Centre (for example, an Order, Framework Agreement or other direct commercial agreement) (“Direct Agreement”). Where you are a party to a Direct Agreement, the terms of that Direct Agreement (and not this Clause 8) shall govern in relation to the matters set out below, and nothing in this Clause 8 is intended to vary, supplement or override the terms of your Direct Agreement.

(a) Intellectual property. We (or our licensors, where applicable) own all trade marks, copyright, database rights and other intellectual property rights of any nature in the Service and the Career Centre platform and all underlying software, together with all developments, improvements, upgrades or enhancements to each of them. All such rights are reserved. Except as required by applicable law, you will not, and will not allow any third party on your behalf to, copy, reproduce, distribute, alter, modify, reverse engineer, disassemble, decompile, or create derivative works of the Service or the Career Centre platform, or attempt to do any of the foregoing.

(b) Limitation of liability.
(i) If we fail to comply with these Terms, subject to paragraph (iii) below, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or our failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen, or if, at the time you accepted these Terms, both we and you knew it might happen.
(ii) We will in no event be liable to you for: (A) any loss of profits, business, business opportunities, revenue, turnover, reputation or goodwill, in each case whether direct or indirect; (B) loss of anticipated savings or wasted expenditure, whether direct or indirect; or (C) any indirect, consequential or special loss. (iii) Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, or for any other liability which cannot be excluded or limited under applicable law.

(c) Force majeure. If our provision of the Service is delayed by an event outside our control, we will contact you as soon as reasonably possible to let you know and will take steps to minimise the effect of the delay. Provided we do this, we will not be liable for delays caused by the event, but if there is a risk of substantial delay you may contact us to terminate your use of the Service.

(d) Assignment. You may only transfer your rights or obligations under these Terms to another person if we agree in writing.

(e) Third party rights. These Terms do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms, except as expressly set out in these Terms.

(f) Severability. Each of the provisions of these Terms operates separately. If any court or competent authority decides that any provision is illegal, invalid or unenforceable, the other provisions will remain in full force and effect, and the illegal, invalid or unenforceable provision will be replaced with a valid and enforceable provision which achieves to the greatest extent possible the same effect as would have been achieved by that provision.

(g) Entire agreement. These Terms (together with the documents referred to in them) constitute the entire agreement between you and us in relation to your use of the Service as an Employer, and supersede any prior agreements, representations or understandings between you and us relating to that subject matter.

(h) Governing law and jurisdiction. Except to the extent applicable law provides otherwise, these Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law rules, and the courts of England and Wales shall have exclusive jurisdiction over any dispute that may arise between you and us in relation to these Terms or the Service.
